These Terms of Service ("Terms") govern your access to and use of the website, services, and deliverables provided by OniBrain LLC ("OniBrain", "we", "us", or "our"), a limited liability company organized under the laws of the State of New Mexico, United States. By engaging our services, accessing our website, or making a payment, you ("Client", "you") agree to be bound by these Terms.
OniBrain provides consulting, design, development, and deployment of AI-powered business process automation, together with related advisory and support services (the "Services"). The specific scope, deliverables, timeline, and fees for each engagement are defined in a written proposal, statement of work, order form, or invoice (each, an "Order") agreed between the parties. In the event of a conflict between an Order and these Terms, the Order controls for that engagement.
All Services are quoted individually. Fees, payment schedule, and scope are set out in the applicable Order and confirmed in writing before work begins. Quotes are valid for the period stated therein and are subject to change if the scope changes.
You agree to pay all fees specified in the applicable Order. Unless stated otherwise: (a) fees are quoted and payable in US Dollars (USD); (b) payments are processed by our third-party payment processors, Stripe, Inc. and Chargebee, Inc.; (c) project fees or deposits are due before work commences; and (d) recurring or retainer fees are billed in advance on the agreed cycle. You authorize us and our payment processors to charge your provided payment method for all amounts due. Late or failed payments may result in suspension of Services.
Where an Order provides for recurring or retainer Services, the subscription renews automatically for successive periods until cancelled in accordance with these Terms and the Cancellation Policy below. You may cancel future renewals at any time; cancellation takes effect at the end of the then-current paid period.
You agree to provide, in a timely manner, the access, information, credentials, content, and cooperation reasonably required for us to perform the Services. Delays caused by the Client may affect timelines and costs. You are responsible for ensuring you have the right to grant us access to any systems, data, or accounts involved in the engagement.
Upon full payment for an engagement, you receive a license to use the custom deliverables created specifically for you as described in the applicable Order. OniBrain retains ownership of its pre-existing materials, tools, methodologies, frameworks, and any general know-how developed in the course of providing the Services. Third-party software, APIs, and AI models remain subject to their own licenses.
Our Services may rely on third-party platforms, APIs, and artificial intelligence models. We do not control and are not responsible for the availability, accuracy, or output of such third-party services. AI-generated output may contain errors and should be reviewed by you before being relied upon for business-critical decisions.
We will perform the Services with reasonable skill and care. Except as expressly stated in an Order, the Services and all deliverables are provided "as is" and "as available", and OniBrain disclaims all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or will achieve any specific business result.
To the maximum extent permitted by law, OniBrain's total aggregate liability arising out of or related to the Services shall not exceed the total fees paid by you to OniBrain for the specific engagement giving rise to the claim during the three (3) months preceding the event. OniBrain shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business, even if advised of the possibility of such damages.
Each party agrees to keep confidential any non-public information disclosed by the other in connection with the Services and to use it only for the purpose of the engagement.
Either party may terminate an engagement as set out in the applicable Order or for material breach that remains uncured after written notice. Termination does not relieve you of the obligation to pay for Services performed up to the effective date of termination. Sections that by their nature should survive (including Fees, IP, Disclaimer, Limitation of Liability, and Confidentiality) survive termination.
These Terms are governed by the laws of the State of New Mexico, United States, without regard to its conflict-of-laws rules. Any dispute shall be subject to the exclusive jurisdiction of the state and federal courts located in Curry County, New Mexico.
We may update these Terms from time to time. The updated version will be posted on this page with a revised "Last updated" date. Continued use of our Services after changes take effect constitutes acceptance of the revised Terms.

OniBrain LLC provides custom, made-to-order professional services. Work is performed specifically for each Client based on an agreed scope. Because our resources are committed to your project as soon as work begins, the following policy applies.
All fees are non-refundable once payment has been made and work on the engagement has commenced. This includes deposits, project fees, and any fees for work already performed. By making a payment, you acknowledge and agree that you are purchasing custom professional services and that such fees are non-refundable to the extent work has been started or completed.
Recurring and retainer fees are billed in advance and are non-refundable for the current billing period. You may cancel future renewals at any time by contacting us; cancellation stops further billing but does not refund the current period. You retain access to the Services through the end of the paid period.
If you wish to cancel an engagement after payment but before any work has commenced, contact us at [email protected]. Where no work, allocation of resources, or third-party costs have yet been incurred, we may, at our discretion, provide a partial or full credit or refund. This is not guaranteed and is assessed case by case.
All cancellation and refund requests must be submitted in writing to [email protected]. We will respond within a reasonable time, typically within 5 business days.
We encourage you to contact us first to resolve any billing concern. Initiating a chargeback without first contacting us may be treated as a breach of these Terms.

Where applicable law (such as the EU/UK GDPR) requires it, we process personal data on the bases of contract performance, our legitimate interests, your consent, and legal obligation.
We do not sell your personal information. We share information only with: (a) service providers who help us operate (including our payment processors Stripe and Chargebee, hosting provider Cloudflare, and communication tools); and (b) authorities where required by law. These providers process data under their own privacy terms.
We retain personal data only as long as necessary for the purposes described above and to meet legal and accounting requirements, after which it is deleted or anonymized.

We are based in the United States. If you access our Services from outside the United States, your information may be transferred to and processed in the United States and other countries.
We use reasonable technical and organizational measures to protect personal data. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.
